If you do not accept these terms, do not click “Register” or “Log in” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

As per Labour Law you must be 18 years of age or older to visit or use www.moqaam.com  in any manner, and, if under the age of 18 or the age of majority as that is defined in your jurisdiction.

“Document” refers to any posting to a Site, whether job or resume.

“Employer” means a person or entity that is accessing a Site to post a job or utilizing the Services for any reason related to the purpose of seeking candidates for employment.

“Employer Materials” includes any brochures, emails, sample job postings, web site content, career fair material, audio, videos, photographs, logos, trademarks, service marks, domain names, documents or other materials provided by Employer, if any, for use in connection with the Services.

 “Job Seeker” means a User who is accessing a Site to search for a job or in any other capacity except as an Employer.

 “Services” means any services provided by Moqaam.com or its agents described herein and specified more fully in-Service Activation Agreement.

“User” refers to any individual or entity that uses any aspect of the Site.

 “You” or “you” means the person who (or the entity on behalf of whom you are acting) that is agreeing to these Terms of Use.

Members and Visitors

When you register and join the Moqaam.com Service you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”

 

Content You Submit

You acknowledge that you are responsible for any material you may submit via the Site, including the legality, reliability, appropriateness, originality, and copyright of any such material. You may not upload to, distribute, or otherwise publish through this Site any content including videos and photographs  that (i) is false, fraudulent, libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, infringing on intellectual property rights, abusive, illegal, or otherwise objectionable; (ii) may constitute or encourage a criminal offense, violate the rights of any party, or otherwise give rise to liability or violate any law; or (iii) may contain software viruses, political campaigning, chain letters, mass mailings, or any form of spam. You may not use a false email address or other identifying information, impersonate any person or entity, or otherwise mislead as to the origin of any content. Employee acknowledge, that this site is a professional site and that only a formal photograph is permitted to be uploaded and professional video recording of an interview.  Employee acknowledge that the photographs and videos are solely for professional use.

If you do submit material, and unless we indicate otherwise, you grant Moqaam.com and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use.

 

Proscribed Uses

The Site is intended for individuals seeking employment and for employers or recruiters seeking candidates for employment. You may use the Site only for lawful purposes within the stated context of Moqaam.com’s intended and acceptable use of the Site. You agree not to use the site in any way that:

  • respond to postings by other Users in any manner or for any purpose other than that which is expected (i.e., to apply for the job or to initiate further discussion with the candidate). Communications soliciting the Employer’s business are prohibited.
  • promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
  • send unsolicited commercial email to Users;
  • You may not delete or revise any material posted by any other person or entity;
  • post content that contains restricted or password-only access pages, or hidden pages or images;
  • solicit passwords or personally identifiable information from other Users;
  • infringes any copyright, database right or trade mark of any other person;
  • is unlawful, illegal or unauthorised;
  • is likely to harass, upset, embarrass, alarm or annoy any other person;
  • is likely to disrupt our service in any way; or
  • is defamatory of any other person;
  • is obscene or offensive;
  • advocates, promotes or assists any unlawful act such as (by way of example only) computer misuse.
  • attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

 License to Use by Job Seekers

Moqaam.com grants you a limited, terminable, non-exclusive right to access and use www.moqaam.com  only for your personal use seeking employment opportunities for yourself. This authorizes you to view and download a single copy of the material on the Site solely for your personal, non-commercial use. You agree that you are solely responsible for the content of any document, photograph and video you post and upload to the site and any consequences arising from such posting. Your use of the Site is a privilege.  This privilege can be suspended or terminated by Moqaam.com at any time and for any reason in its sole discretion.

 License to Use by Users who are Employers

Moqaam.com grants you a limited, terminable, non-exclusive right to access and use www.moqaam.com  only for your internal business use of seeking candidates for employment. This authorizes you to view and download a single copy of the material on the Site solely for your personal use directly related to searching for and recruiting job prospects. Moqaam.com also grants you a limited, terminable, non-exclusive license to use the Moqaam.com Materials and Services for your internal use only. You may not sell, transfer or assign any of the Services or your rights to any of the Services provided by Moqaam.com to any third party without the express written authorization of Moqaam.com. You agree that you are solely responsible for the content of any Document you post to the Site and any consequences arising from such posting. Moqaam.com reserves the right to suspend or terminate your access and use at any time if Moqaam.com determines that you are in breach of these Terms.

Employer Materials

Employer represents, warrants and covenants that any Employer Materials provided by Employer for use in connection with the Services will not violate any laws or regulations or third-party proprietary rights, including, without limitation, copyright, trademark, obscenity, rights of publicity or privacy, and defamation laws. Employer hereby grants Moqaam.com a non-exclusive, worldwide, royalty-free license to use the Employer Materials and to hyperlink to Employer’s website in connection with the Services.

 Third Party Providers

You acknowledge and agree that Moqaam.com may provide its Services using third party providers, including subcontractors and consultants (the “Third Party Providers”). You agree that, as between Moqaam.com and its Third-Party Providers, Moqaam.com will have sole responsibility for handling all billing and contract negotiations.

These links are provided as a convenience to you and as an additional avenue of access to the information contained therein. User Authentication

Posting

These rules apply to your use of the site and/or the Services. The list of rules  is not a complete list of all posting, conduct and security rules.

Posting Rules:

(a) You may not post any Document to a Site that contains:

(d) Job postings must describe individual openings. You may not advertise multiple job openings in a single posting.

(e) In limited circumstances, at Moqaam.com’s sole discretion, Moqaam.com allows non-traditional job postings such as education/training, business opportunities, franchise, and multi-level marketing opportunities to be posted on the Site. These non-traditional job postings may require an investment of time and/or money by the User seeking the position. Moqaam.com reserves the right, in its sole discretion, to move, modify, or remove entirely a non-traditional job posting if Moqaam.com deems such job posting to conflict with the best interests of its Users or detract from the User experience.

(f) Resume postings must contain the accurate resume of a living individual seeking employment on a full-time, part-time, or contractual basis on his or her own behalf.

(g) Moqaam.com is under no obligation to monitor the Documents posted on the Sites, but it may monitor Documents at random. Documents found to violate the above Posting Rules may be removed at Moqaam.com’s sole discretion.

Job posting

  Job posting may not contain:

(a) any hyperlinks, other than those specifically authorized by Moqaam.com;

(b) misleading, unreadable, or “hidden” keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in Moqaam.com’s reasonable discretion;

(c) the names, logos or trademarks of unaffiliated companies other than those of your customer save where expressly agreed by Moqaam.com;

(d) the names of colleges, cities, states, towns or countries that are unrelated to the posting;

(e) more than one job or job description, more than one location, or more than one job category, unless the product so allows;

(f) inaccurate, false, or misleading information; and

(g) material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.

Payment of Services upon Termination of Service Activation Agreement

If at any time during the course of this Agreement you should terminate a Service Activation Agreement or any other services Agreement in which these Terms of Use have been incorporated by reference, then Moqaam.com shall reserve the right to receive all payments from you for the Services used by you up to termination.

Moqaam.com use the information it collects about you for the following purposes:

  • Career: Our Services allow you to explore careers, evaluate educational background, and seek out, and be found for, career opportunities. Your profile can be found by those looking to hire (for a job) or be hired by you. We will use your data to recommend jobs in an industry or location. You can signal that you are interested in changing jobs and share information with job recruiters. We will use your data to recommend jobs to you and you to recruiters. We may use automated systems to profile and provide recommendations to help make our Services more relevant to our members, visitors and users. Keeping your profile accurate and up-to-date may help you better connect to others and to opportunities through our Services.
  • Productivity: Our Services allow you to collaborate with colleagues, search for potential employees, employers and others. Our Services allow you to communicate with other Members and schedule and prepare meetings with them. If your settingsallow, we scan messages to provide “bots” or similar tools that facilitate tasks such as scheduling meetings, drafting responses, summarizing messages or recommending next steps.
  • Providing you with the Service: We use the information that you provide us to provide our services to you. Our Services help you connect with others, find and be found for work and business opportunities, stay informed, get the job and be more productive.
  • We also use information we collect about you automatically to remember information about you so that you will not have to re-enter it during your visit or the next time you visit the site.
  • To communicate with you about the Service: We use your contact information to get in touch with you and to send communications about critical elements of the Service. For example, we may send you emails about technical issues, security alerts or administrative matters.
  • To promote and drive engagement with the Moqaam.com Service: We use your contact information to get in touch with you about features and offers of similar jobs or employees  that you have viewed  and we think you would be interested in. You can opt-out of getting these communications as described below.
  • For security measures: We use information about you to monitor activity that we think is suspicious or potentially fraudulent, and to identify violations of this Privacy Policy or our Terms of Use.
  • For matters that you have specifically consent to: From time to time Moqaam.com may seek your consent to use your information for a particular purpose. Where you consent to our doing so, we will use it for that purpose. Where you no longer want us to use your information for that purpose you may withdraw your consent to this use.
  • For matters that we are required to use your information by law: Moqaam.com will use or disclose your information where we reasonably believe that such action is necessary to (a) comply with the law and the reasonable requests of law enforcement; (b) to enforce our Terms of Use or to protect the security or integrity of our Service; and/or (c) to exercise or protect the rights, property, or personal safety of Moqaam.com, our Users or others.

 

Legal basis for processing information under the GDPR (For EEA users only)

For users in the EEA, we process your information in accordance with the General Data Protection Regulation (GDPR). The GDPR governs how Moqaam.com may process your information, and the rights that EEA users have in relation to it. This means that Moqaam.com will collect and use your information only where:

  • It is justified because of a legitimate interest such as for research and development or marketing the Service (but only where our legitimate interest isn’t overridden by your interest in protecting your data).
  • You consent to us using your information in a certain way.
  • It is necessary for compliance with our legal obligations.

If you have consented to our use of your information you may withdraw that consent at any time. Depending on the situation you can either withdraw your consent by emailing [email protected] or through your account settings page. Where we are using your information because of a legitimate interest to do so, you have the right to object to that use. However, if you do so it may mean that it is not possible for you to continue using the Services.

Sharing your information

We value your privacy and will not rent or sell your information to third parties (including any parent, subsidiaries and affiliates) without your consent, except with it is mandated by government authorities.

We would only share your information to third parties who are service providers for the purpose of providing our services to you and to promote Moqaam.com’s interest.

How we transfer, store and protect your data

For EEA users, where we transfer your information to a third party provider that is not located in the EEA, and is not subject to an adequacy decision by the EU Commission, we will require those third party providers to enter into an agreement that provides appropriate safeguards for your information. Unlawful access of your information

In the event that any information under our control is unlawfully accessed as a result of a breach of security, Moqaam.com will take reasonable steps to investigate the situation and where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

If there is a breach of our security we will investigate it and let any affected users know.

You control your account information and settings

You may update your account information by logging into your account and changing your profile settings. You can also stop receiving promotional email communications from us by clicking on the “unsubscribe link” provided in such communications. We make every effort to promptly process all unsubscribe requests. You may not opt out of Service-related communications (e.g., account verification, job notifications,  reminders, changes/updates to features of the Service, technical and security notices).

Opting out of collection of your information for Tracking / Advertising

Kindly refer to your mobile device or browser’s technical information for instructions on how to delete and disable cookies, and other tracking/recording tools. Depending on your type of device, it may not be possible to delete or disable tracking mechanisms on your mobile device. Note that disabling cookies and/or other tracking tools prevents Moqaam.com or its business partners from tracking your browser’s activities in relation to the Service, and for use in targeted advertising activities by third parties. However, doing so may disable many of the features available through the Service.

Rights in respect of your Information

The laws of some countries grant certain rights in respect of personal information. Users in those jurisdictions may have the right to:

  • Request that your information be deleted or that we restrict access to it;

How Long we keep your user content

Upon termination or deactivation of your User account, Moqaam.com may retain your profile information and user content for a commercially reasonable time, and for as long as we have a valid purpose to do so. In particular, Moqaam.com may retain your information for the purpose of compliance with its legal and audit obligations, and for backup and archival purposes.

We are not affiliated with these sites neither are we responsible for these sites.  Consequently, we have no liability whatsoever with regard to privacy matters or any other legal matter with respect to such sites. Service Activation Agreement

This Service Activation Agreement (the “Agreement”) is entered as per the Signup / Registration date by and between Moqaam.com.com and the Company for the purpose of providing online access to post jobs on Moqaam.com.com website.

WHEREAS:

  1. This Agreement contains terms and conditions applicable to the services (“Services”) provided by Moqaam.com.com to Company.
  2. Company shall use all Services provided hereunder solely for its own internal business purposes and shall not resell or transfer to any third party any Services.
  3. Term and Termination.
  • Free Trial; Company may have been offered a free trial of Moqaam.com Services (the “Trial”). In order to receive the Trial, Company must register on Moqaam.com’s website and provide valid credit card information, although the credit card will not be charged until the expiration of the Trial. Company may cancel the Subscription  at any time during the Trial via a link available online in Company’s Account Preferences. If Company does not cancel the Subscription during the Trial, Moqaam.com will automatically charge Company’s credit card for first 30 day period of the selected Subscription and will continue to charge Company’s credit card at the beginning of each 30 day period during the Initial Term.
  • Subscription Term and Automatic Renewal; This Agreement shall commence on the date the Order is submitted to Moqaam.com and shall continue for the initial duration specified in the Subscription Package (the “Initial Term”) unless earlier terminated in accordance with the provisions of this Agreement.
  • Termination by Company;Company may cancel the Order at any time (i) during the Trial, or (ii) effective at the end of the Initial Term or any Renewal Term. Cancellation can be made via a link available online in Company’s Account Preferences. Company acknowledges and agrees that the Order cannot be terminated during the Initial Term or a Renewal Term other than for breach by Moqaam.com.  Company acknowledges that it will not receive any refund upon cancelling the Order, but that the Services will be available until the expiration of the Initial Term or Renewal Term in which the cancellation notice is received by Moqaam.com.
  • Termination for Breach; If Company materially breaches any provision of this Agreement, upon notice to Company, Moqaam.com may immediately suspend all Company passwords and access codes until the breach is cured and if applicable, immediately remove any job postings that violate the Site’s terms of use. Either party may immediately terminate this Agreement if the other party materially breaches this Agreement which breach is not cured within ten (10) days after receipt of written notice thereof.

 

All amounts payable by Company for the Services (“Fees”) are due on a monthly basis by credit card only and will be charged by Moqaam.com as specified in Section 1 above. If at any time Company’s credit card will not accept the charge for fees due, Company acknowledges that Moqaam.com will not provide the Services for the period applicable to those fees and the Order will terminate. Company will be responsible for the payment of any present or future sales, use, excise or other similar tax (excluding taxes based on Moqaam.com’s net income) applicable to the Services. Fees paid for Services are non-refundable, except in the case of Moqaam.com’s uncured material breach, in which case Monqaam will refund to Company pre-paid amounts for Services not rendered as of the effective date of such termination.

 

The following are services provided by Moqaam.com to the company:

 

(a) Moqaam.com Job Ads. Moqaam.com will permit Company to post jobs ads (i) with a maximum job ad duration specified in the order, and (ii) to either a specified fixed location set forth in the order or to any location, on the Moqaam.com website (“Site”) in accordance with the terms of the order and the Site’s terms of use. The Order may also describe certain attributes of the job ads, such as whether the job ads include bolding, if and when the job ads may be auto-refreshed, and if recommended resumes will be supplied to the Company

Moqaam.com job ads purchased under the Order must be posted prior to the period specified in the Order for such job ads, after which such job ads shall expire. Unused job ads do not roll over into the next period. Each posted job ad will be active for up to the job ad duration set forth in the Order. Each job ad may include only one job description in one location and one job category, with up to four occupations and four industries per category. Any (a) re-activation of an expired job ad, (b) renewal of any job ad, or (c) change in the reference code of a job ad where that job ad has been posted via file transfer protocol (FTP) or business gateway (BGW), constitutes use of an additional job ad. Company acknowledges that job ads on the Site also appear in search results on other websites owned or affiliated with Moqaam.com, including websites co-branded with third parties.

 

(b) Standard Job Ad Slot. Moqaam.com will permit Company to post jobs ads to a slot (“Slot Job Ads”) on the Site in accordance with the terms of this Agreement and the Terms of Use. Slot Job Ads may be posted for a minimum of one (1) day and a maximum of thirty (30) days during the Product Duration specified in the Order for such Slot Job Ads. Each Slot Job Ad shall be automatically expired thirty (30) days from activation unless expired sooner by Company. Each Slot Job Ad may include only one (1) job description and one (1) location and one (1) job category with up to four (4) occupations and four (4) industries per category. Slot Job Ads can be expired at any time by Company and once expired can be replaced with a different Slot Job Ad. Once a Slot Job Ad has been manually expired by Company, the same Slot Job Ad cannot be reposted for at least 24 hours. Company acknowledges that Slot Job Ads on the Sites also appear in search results on other websites owned or affiliated with Moqaam.com, including websites co-branded with third parties. Slot Job Ads submitted to Moqaam.com via the Business Gateway (BGW) may be sent no more than once per day, in a format to be specified by Moqaam.com, using FTP, XML or HTTP (depending on the format). The Order may also describe whether the Slot Job Ads include bolding and the terms, if any, under which the job postings may be auto-renewed.

(c) Talent CRM. Moqaam.com will permit Customer to send messages to candidates from Moqaam.com’s resume database or from Company’s private resume database up to the specified message limit for the period specified. Unused Talent CRM messages do not roll over into the next period. Talent CRM may not be used to send unsolicited emails regarding promotions and/or advertising of Company’s or a third party’s products or services. Talent CRM may also not be used to source candidates or to contact job seekers or resume holders in regards to any home-based business opportunities, fee-based business opportunities or franchise opportunities. Company must respect job seeker requests to be opted out from Company contact. The number of messages sent per day will be limited by Moqaam.com and may vary over time. Talent CRM inventory will be deducted for each message sent to a seeker at the time the message is transmitted to the job seeker. Moqaam.com does not guarantee the message will successfully reach the candidate’s personal inbox.
(d)  Resume Licenses. Moqaam.com will permit Company to access Moqaam.com’s resume database (“Resume Database”) under a Resume Database License. The term “Resume Database License” means a license for a single, individual user under the direct control of Company (“Resume User”) to access the Resume Database through one unique password for the duration and type (i.e. national or radius) as set forth in the Order, including use of the Moqaam.com Power Resume Search tool, for the number of resume views set forth in the Order for the period specified. Unused resume views do not roll over into the next period. A resume view occurs when a resume is acted upon following a resume search. Examples of a single resume view include without limitation when a Resume User: a) opens a resume, b) opens and prints the resume, c) opens and emails the resume, d) opens and adds it to a folder or e) adds a resume to a folder without opening such resume. Multiple resume views occur when a Resume User opens and closes the same resume multiple times (Note: a “viewed” icon will be displayed in the resume search results to indicate that a resume has been viewed by the Resume User). Company  agrees to notify Moqaam.com promptly after the departure of any person to whom a password was provided and Moqaam.com reserves the right to cancel such password and issue a replacement password, upon notification to Company. Moqaam.com  reserves the right to periodically change issued passwords upon notification to Company. The Resume Database shall only be used by employers for the purpose of seeking employees. The Resume Database License may not be used to send unsolicited mail or e-mail, make unsolicited phone calls or send unsolicited faxes regarding promotions and/or advertising of Company’s or a third party’s products or services. The Resume Database License may also not be used to source candidates or to contact job seekers or resume holders in regards to any home-based business opportunities, fee-based business opportunities or franchise opportunities. If it is determined that additional users (other than named Resume Database license holders) are accessing the Resume Database, then, in Moqaam.com’s sole discretion, either (i) Company will be billed in accordance with the terms hereof, at Moqaam.com’s then prevailing price for such Resume Database Access or (ii) such sharing will be a breach of this Agreement and Moqaam.com shall have the remedies set forth in the Agreement.

 

Each party will keep the specific terms of this Agreement confidential and not disclose them to any third party without the other party’s prior written consent, except as required by law.

  1. Ownership.

As between Moqaam.com and Company, any intellectual property, including but not limited to job postings, logos, advertisements and/or any other content provided by Company (“Company Content”) for placement on any Moqaam.com website and all other proprietary rights therein are and shall at all times remain Company’s property. Company grants to Moqaam.com and its affiliates a royalty-free, fully paid up, non-exclusive and worldwide license to use, copy, reproduce, publish, perform, display, and distribute such Company Content (in whole or in part) solely in connection with the Services provided during the term of this Agreement. Moqaam.com shall retain all right, title and interest, including all intellectual property rights, to and in: (i) any proprietary technology and software contained or incorporated in or part of the Site and (ii) the content (excluding Company Content) on or part of the Site (including without limitation all resumes), and all elements which are a part of or incorporated in (or constitute a collection or compilation of) any of the foregoing.

 

  1. Terms of Use.

Customer shall comply with the terms of use of the Site described in an Order or accessed by Company. Terms of use of the Site are available from the applicable Site’s homepage through the link “Terms of Use.” To the extent there is any inconsistency between any accessed Site’s terms of use described in this paragraph and the terms of this Agreement, the terms of use will supersede.

 

  1. Limited Warranty.

Moqaam.com warrants that Moqaam.com will perform Services in a professional manner in accordance with prevailing industry standards. EXCEPT FOR THE FOREGOING, MOQAAM.com MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT WITH RESPECT TO ITS SERVICES OR THE SITE, OR THE FUNCTIONALITY, PERFORMANCE OR RESULTS OF USE OF ITS SERVICES OR THE SITE.

  1. Indemnification.

Each party (each, in such capacity, the “Indemnifying Party”) shall indemnify the other party, its affiliates and their respective officers, directors, employees and agents (each, in such capacity, an “Indemnified Party” and, collectively, the “Indemnified Parties”), from and against any third party claims, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from: (a) infringement or alleged infringement of any patent, copyright, trade secret or other proprietary right of any third party, arising out of or relating to (i) in the case of Moqaam.com, the delivery of the Services and (ii) in the case of the Company, the provision of any material to any Site by or on behalf of the Company and (b) in the case of Moqaam.com, gross negligence or willful misconduct arising out of or relating to the delivery of the Services and (c) in the case of the Company, gross negligence or willful misconduct arising out of or related to use of the Services. The Indemnifying Party’s obligations hereunder will only apply if the Indemnified Party notifies the Indemnifying Party promptly in writing as to any such claim, action or demand, provided, however, that the Indemnifying Party’s indemnity obligations shall not cease unless the failure to so notify materially prejudices its ability to defend the claim.

 

  1. Limitation of Liability.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT (INCLUDING THE ORDER), EXCEPT FOR OBLIGATIONS OF AN INDEMNIFYING PARTY UNDER SECTION 8, BUT WITHOUT IN ANY WAY LIMITING CUSTOMER’S PAYMENT OBLIGATIONS UNDER THIS AGREEMENT, (A) NO PARTY WILL BE LIABLE TO ANY OTHER PARTY (NOR TO ANY PERSON CLAIMING RIGHTS DERIVED FROM THE OTHER PARTY’S RIGHTS) FOR INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND – INCLUDING LOST REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA – ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES PROVIDED HEREUNDER (INCLUDING WITHOUT LIMITATION AS A RESULT OF ANY BREACH OF ANY WARRANTY OR OTHER TERM OF THIS AGREEMENT), REGARDLESS OF WHETHER THE PARTY LIABLE OR ALLEGEDLY LIABLE WAS ADVISED, HAD OTHER REASON TO KNOW, OR IN FACT KNEW OF THE POSSIBILITY THEREOF, AND (B) EACH PARTY’S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, ANY PRODUCT, THE SERVICES PROVIDED HEREUNDER OR ANY SITE, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY OR OTHERWISE), WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE BY CUSTOMER TO MOQAMM DURING THE TERM HEREOF.

 

  1. Miscellaneous.

Independent contractors : Each party to this Agreement shall be acting as an independent contractor, and nothing herein shall be construed to create a partnership, joint venture or any type of agency relationship between Moqaam.com and Company or any of Company’s employees or agents.

Entire agreement : This Agreement, which may be executed in counterparts, contains the entire understanding of the parties with respect to the transactions and matters contemplated hereby, supersedes all previous communications, understandings and agreements (whether oral or written), as well as any purchase orders not supplied by Moqaam.com that have been or may from time to time be submitted by Company, and cannot be amended or waived except by a writing signed by all of the parties.

Assignment:  Neither party may assign this Agreement in whole or in part, by operation of law, merger, asset or stock sale or transfer, or otherwise, without the prior written consent of the non-assigning party, except (i) in connection with a merger, consolidation, reorganization or sale of all or substantially all assets of the assigning party, or (ii) to a party controlling, controlled by or under common control with the assigning party.

Waiver: No party has relied on any representation or warranty of any other party not expressly set forth in this Agreement. No failure or delay on the part of any party in exercising any right or remedy provided in this Agreement shall operate as a waiver thereof; nor shall any single or partial exercise of or failure to exercise any such right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy under this Agreement.

Force Maejure: Each party’s performance under this Agreement is subject to force majeure.

Notices: All notices given hereunder shall be given by  mail, return receipt requested or overnight courier or email  to the respective addresses set forth herein, and shall be deemed given upon actual delivery thereof.

Jurisdiction and Applicable law: This Agreement, and any disputes between Company and Moqaam.com relating to this Agreement, shall be governed by and construed in accordance with the laws of Pakistan excluding its conflicts of laws principles.

 

IN WITNESS WHEREOF, the parties have caused this Agreement to be executed as of the day subscribing to the services.
